In early October, the competent authorities issued all the necessary approvals for finalising the acquisition of Equans.  The transaction will make Bouygues a world leader in the buoyant multi-technical services market, the business activities of which are central to the environmental, industrial and digital transitions. In particular, these businesses develop solutions to optimise energy consumption, a highly strategic issue in today’s environment.To create the new world-leading group, which will keep the Equans name, Bouygues' Energy & Services businesses, currently part of Bouygues Construction, will join those of Equans at the beginning of January 2023. The new entity will become the Group's leading business in terms of revenue (approximately €17 billion annually) and workforce (some 97,000 employees).Operating in a resilient and buoyant market, the new group will benefit from decisive advantages: <ul><li>A leading position in the market for multi-technical services, encompassing electrical engineering, HVAC, mechanical engineering and robotics, information and telecommunication systems, facility management, and the smart city; </li><li>Strong local presence in targeted countries; </li><li>Recognised know-how and a portfolio of well-known brands, both in local services and in specialised activities; </li><li>The ability to design and implement sustainable and innovative products and services.</li></ul>The transaction is Bouygues’ largest ever. The new financing will support DGF´s plan to cover about 4 million homes with FTTH by year-end 2025, a key step on its longer-term ambition to reach a 6 million FTTH footprint. DGF is owned by two major clients of the Bank: EQT Infrastructure (51%) and OMERS (49%).Crédit Agricole CIB acted as co-financial advisor, sustainability advisor, underwriter, bookrunner and hedge coordinator of the transaction.The new financing includes sustainability-linked elements to align with the high ESG commitments from DGF and its shareholders, whereby interests will be linked to: <ol><li>DGF´s success in reducing carbon emissions in line with science-based targets of the Paris agreement, </li><li>DGF´s commitment to overcome the digital divide by connecting underserved areas, contributing to the German government´s plan to provide a nation-wide fibre broadband infrastructure, and </li><li>DGF continuing to be a socially responsible and attractive place to work.</li></ol>
The EUR 5.75bn financing comprises a EUR 3.0bn term loan, a EUR2.5bn capex facility and a EUR 250m revolving credit facility. In addition, DGF secured an uncommitted accordion credit facility of EUR 1.5bn.Syndication was done through a combination of banks and institutional investors. Being the largest digital infrastructure financing in Germany, and second largest in Europe, this transaction is a key achievement and credential for Crédit Agricole CIB’s technology, media, and telecom (TMT) debt advisory and financing franchise.

<body>In December 2018, Altice Europe and KKR announced the creation of Hivory, the largest independent telecoms tower company in France and third largest European tower company with a portfolio of more than 10,000 of Altice’s French towers. Crédit Agricole CIB, BNP Paribas, DNB Bank and Natixis as Bookrunners and Underwriters are delighted to announce the successful syndication of the EUR 770m senior credit facilities (the “Facilities”) backing the transaction.  The Facilities comprise an EUR 470m acquisition facility to fund part of KKR’s acquisition of a 49.99% stake in Hivory, and a EUR 300m revolving credit facility to fund Hivory’s ongoing growth prospects. The facilities closed oversubscribed.
