Terms of Business

The general conditions reproduce the terms of the contract between Crédit Agricole CIB customers and the Bank for the provision of banking services.

GENERAL CONDITIONS AND CONTRACTUAL DOCUMENTATION

Crédit Agricole Corporate and Investment Bank (hereinafter “Crédit Agricole CIB”) has published general conditions (hereinafter “General Conditions”) including country annexes.

The General Conditions of Crédit Agricole CIB Head Office and Branches in the European Economic Area (hereinafter “EEA”), governed by French law, are specific to Crédit Agricole CIB Paris and certain branches in the EEA as listed, and govern the services provided and transactions carried out (as defined in the General Conditions) with or on behalf of Clients (wherever they are established) by Crédit Agricole CIB Paris and its EEA Branches. The EEA branches covered are Brussels, Milan, Frankfurt, Madrid and Stockholm (“EEA Branches”).

The General Conditions of Crédit Agricole CIB Head Office and EEA Branches govern only the relationships of Crédit Agricole CIB Paris and its EEA Branches with Clients and do not govern the relationships between Crédit Agricole CIB’s branches or subsidiaries outside the EEA and Clients (whether or not they are EEA residents). The General Conditions of Crédit Agricole CIB Head Office and European Branches only cover the activity subject to MiFID II.

Crédit Agricole CIB’s General Conditions specific to the London branch (“Crédit Agricole CIB London Branch Terms”) govern the relationships between Crédit Agricole CIB’s London branch and its Professional Clients and Eligible Counterparties for all the services provided and transactions conducted by Crédit Agricole CIB’s London branch.

The General Conditions also describe their articulation with the contractual documentation specific to the services or transactions (the principle being that the contractual documentation specific to the transactions governs the relationship with the Client in the context of such transaction).

In this context, Clients may have relationships with Crédit Agricole CIB Paris and/or different EEA Branches and/or the London Branch. Different General Conditions may apply to different services or in relation to different transactions, depending on whether the Client deals with Crédit Agricole CIB in different locations. If Clients deal with Crédit Agricole CIB in multiple locations, and for the purposes of determining which General Conditions govern any specific service or transaction, Crédit Agricole CIB will apply:

  • Crédit Agricole CIB’s General Conditions applicable to the place from which the envisaged service or transaction originates and from which, for such service or transaction, Crédit Agricole CIB has its main contact with the Client;
  • As regards more particularly clause 5 (“Compensation Scheme”) of the Crédit Agricole CIB London Branch Terms, to Clients, wherever located, who have deposited funds with the London branch of Crédit Agricole CIB; and
  • As regards clause 20.2 (“Client Money”) of the Crédit Agricole CIB London Branch Terms, to the Client, wherever located, who has made small overpayments to the London branch of Crédit Agricole CIB.

For example:

A service or transaction subject to MiFID II originated by a Crédit Agricole CIB branch in Country A with a Client resident in Country A, or by a Client in Country A with a Crédit Agricole CIB branch in Country A, will be governed by the General Conditions of Country A.

A service or transaction subject to MiFID II originated by a Crédit Agricole CIB branch in Country A with a Client in Country B, or by a Client in Country B with a Crédit Agricole CIB branch in Country A, will also be governed by the General Conditions of Country A.

Services or transactions originated by Crédit Agricole CIB’s London branch with any Professional Client or Eligible Counterparty, or by any Professional Client or Eligible Counterparty with Crédit Agricole CIB’s London branch, are governed by the General Conditions specific to the London branch.

The General Conditions specific to each jurisdiction, other than Paris, are all derived directly from the General Conditions of Crédit Agricole CIB Paris, and differ from them only to the extent required to comply with the local laws and regulations of the jurisdiction of the branch, or the specific requirements of the markets of the jurisdiction in question.

If Clients are in doubt about the General Conditions governing a specific Service or Transaction, they are advised to contact their usual Relationship Manager.

We inform our Clients that, when Crédit Agricole CIB provides you with an investment service or product, (a) conversations and communications are recorded and (b) a copy of the recording of such conversations and communications is available to you on request for a period of at least five years (up to seven years depending on your jurisdiction).
